Auction terms

What each auction includes

Each auction page identifies the digital artwork, preview images, delivered file formats, opening bid, opening and closing times, delivery details, and the license included with that piece. Delivered formats may include PNG, PDF, Adobe Illustrator (.AI), or other formats expressly listed for the lot. Preview images may be compressed, resized, or watermarked.

No physical object, print, NFT, exclusive right, or copyright ownership is included unless the auction page expressly says that a separate physical item is included. This site does not offer copyright transfers or exclusive licenses.

A collection groups related pieces for browsing. Each piece remains a separate auction with its own bids, price, winner, files, and license unless a lot expressly offers a complete set.

Licenses and copyright

Material-Eyezed LLC, the artist, or another identified rights holder retains the copyright. After full payment, the winning buyer receives the nonexclusive license selected on the auction page. “Royalty-free” means no recurring royalty is due for uses permitted by that license after the purchase price is paid. The auction page may add narrower or broader permissions, and those lot-specific terms control for that piece.

Personal use license

A personal use license is perpetual, worldwide, royalty-free, nonexclusive, and nontransferable. It permits the buyer to store the delivered files on personally controlled devices; display the artwork privately; create prints or device backgrounds for the buyer’s own noncommercial use; and post a reduced-resolution image on a personal, noncommercial social profile. Reasonable cropping or resizing for those uses is allowed.

It does not permit business advertising, branding, paid promotion, client work, merchandise, products for sale, monetized content, or any other use intended to generate revenue or promote a business.

Nonexclusive commercial license

A nonexclusive commercial license is perpetual, worldwide, royalty-free, nonexclusive, and nontransferable. It permits the buyer to reproduce, display, crop, resize, and modify the artwork as part of the buyer’s own finished commercial materials and products. Unless the auction page says otherwise, permitted uses include websites, social media, advertising, packaging, publications, video, presentations, and physical merchandise offered for sale.

The buyer may give the files to an employee, printer, fabricator, or other contractor only as needed to produce an authorized finished use for that buyer. The buyer remains responsible for the contractor’s handling of the files, and the contractor receives no independent license.

Restrictions that apply to every license

• Do not resell, share, publish, or redistribute a delivered source file or a substantially similar editable file.
• Do not offer the artwork as standalone stock art, clip art, a template, a downloadable print, or another asset that lets a recipient extract or reuse the artwork.
• Do not sublicense, assign, or transfer the license to another person or company.
• Do not claim authorship or copyright ownership, seek copyright registration for the artwork, or use it as an exclusive trademark or logo.
• Do not mint or sell the artwork as an NFT or use it to train, fine-tune, or evaluate an artificial-intelligence system unless the auction page expressly permits that use.

Material-Eyezed LLC may continue to display, use, sell, and license the same artwork to other people. A license ends if the buyer materially violates its terms and does not correct a correctable violation within 14 days after receiving notice.

Bids and card authorizations

All bids are in U.S. dollars. A bidder enters a private maximum bid. The proxy-bidding system raises the public price only as needed to keep that bidder in the lead, using the increment shown by the site. If two bidders authorize the same maximum, the earlier accepted bid leads.

To submit a bid, the bidder authorizes Stripe to place a temporary card hold for the maximum bid. A bid is accepted only after Stripe confirms a valid authorization. A successful bid placed during the final ten minutes extends the auction by ten minutes.

After the auction closes, Material-Eyezed LLC may capture the winner’s final public price, which can be lower than the authorized maximum. Losing authorizations are canceled or released. The bidder’s bank controls how quickly released funds become available. If an authorization expires before settlement, Material-Eyezed LLC may contact the affected bidder rather than charging another bidder automatically.

Taxes

The current checkout authorizes the displayed maximum bid and does not add sales tax. If Material-Eyezed LLC is required to collect tax on a sale, the applicable amount will be shown before the bidder authorizes payment and will be included in the authorized total.

A buyer remains responsible for any use tax or similar obligation that applicable law places directly on the buyer and that Material-Eyezed LLC does not collect. Using Stripe for payment processing does not by itself determine, collect, file, or remit every tax obligation.

Payment and delivery

After the winning payment is captured, the file package described in the auction will be delivered to the winner’s bidding email address as an attachment or download link within three business days, unless the auction page gives a different delivery time. Delivery is complete when the described files are sent or made available through that link.

The buyer is responsible for providing an accurate email address, checking spam folders, downloading files before a stated link expiration, and maintaining a personal backup. Material-Eyezed LLC may request information reasonably needed to verify the buyer or complete delivery.

Final sales, file problems, and refunds

Because the artwork, included files, and license are shown before bidding, delivered digital-art sales are final and there are no change-of-mind returns. This does not limit rights that cannot be waived under applicable law.

If the files are not delivered, materially differ from the auction description, or cannot reasonably be opened in a listed format, email K-Pix support within seven calendar days after delivery or the promised delivery date. Include the lot title, bidding email, and a description of the problem. Material-Eyezed LLC will respond within three business days and, where appropriate, supply missing or corrected files or issue a refund. Duplicate and unauthorized charges will be investigated and corrected as appropriate.

Payment disputes

Please email K-Pix support first about a delivery, file, or billing problem so it can be investigated promptly. The buyer may also use dispute rights provided by the card issuer or applicable law. A final-sale policy does not remove those rights.

If a dispute is opened, Material-Eyezed LLC may provide Stripe, the card network, or the issuing bank with the auction description, the terms accepted when bidding, payment records, communications, and evidence that the files were delivered or accessed.

Errors, outages, and auction changes

Material-Eyezed LLC may correct an obvious listing or scheduling error before bidding opens. If a material error, security incident, payment-provider outage, or site failure affects a live auction, it may pause, extend, or cancel that auction when reasonably necessary to restore a fair process. Affected bidders will be notified by email when practical, and related card holds will be released if the auction is canceled.

An auction will not be canceled merely because the winning price is lower than expected. Material-Eyezed LLC may reject fraudulent activity, bids made through unauthorized payment methods, or conduct intended to interfere with the auction.

Privacy and records

Stripe collects card information directly; this website does not store full card numbers. Material-Eyezed LLC may retain the auction page, bid and payment records, terms version, buyer communications, delivery email or link, and access or download records as reasonably needed for delivery, accounting, security, legal compliance, and dispute handling. Contact and governing law

Questions about an auction, delivery, or these terms may be sent to material.eyezed@gmail.com. These terms are governed by Colorado law, without overriding any consumer protection that applicable law does not permit the parties to waive.

If one provision is unenforceable, the remaining provisions continue to apply. A failure to enforce one provision is not a waiver of that provision. These terms and the applicable auction page form the agreement for that lot.
